Offer

Definition

An offer on Indiemaker is the price a buyer puts to a seller inside an unlocked listing. It lapses 7 days after it is made, and a counter-offer starts a fresh 7 days. An offer is not binding on its own: the binding agreement is the transfer agreement the buyer and seller sign between them.

An offer is the price a buyer puts to a seller through Indiemaker, stating what they are willing to pay for the asset as listed.

How offers work here

Offers are made inside a listing the buyer has unlocked, in the same conversation as their messages. Each one lapses 7 days after it is made, and a counter-offer from either side starts a fresh 7 days. The clock is the same on every plan.

No offer below $1,000 can be accepted, whatever the listing was advertised at. $1,000 is the minimum transaction value on the platform.

What an offer is not

An offer is an indication of price. It doesn't commit either side to the transfer. That comes later, in the letter of intent and then the asset purchase agreement signed between buyer and seller. Indiemaker keeps a dated record of every offer and counter-offer, and is not a party to any of them.

Where it bites

Price is usually the easy part. An offer that names only a number leaves the handover period, what transfers and the timetable to be argued later, when both sides have less patience. Put them in the message with the number.

Worked example

A micro-SaaS is listed at $112,000. The buyer offers $96,000 on a Tuesday. The seller counters at $104,000 on Friday, which restarts the clock, and the buyer accepts the following Wednesday. At $104,000 the sale sits in the top fee band, so the seller's success fee is 6%, or $6,240, taken from the proceeds and fixed when the offer is accepted.

Why it matters when you exit

An offer that lapses keeps both sides honest about time. Reply inside the week, even when the answer is no. A buyer who watches an offer run out unanswered rarely makes a second one.
