Definition

A digital asset is the full bundle a buyer acquires when they take over an online business, made up of intellectual property, distribution, data, operating history and the options the business creates. Code is one item on that list, and at $50k–$150k it is rarely the part carrying the price.

At a $50,000 to $150,000 deal, this distinction decides the price. Any competent developer with AI assistance can rebuild a product like yours in weeks. What they cannot rebuild is eighteen months of billing history, a domain search engines have trusted since 2021, 400 paying customers who have already made the decision to trust you, and the accumulated knowledge of which support answer stops a cancellation. That is what the money is for.

Where it bites

In sellers who price the build and buyers who price the bundle. A founder who says "this took me nine months and would cost $60,000 to commission" is describing replacement cost, which is the one number buyers ignore. They pay for earnings and the durability of those earnings.

It bites the other way too. Sellers regularly leave the data, the email list, the historic analytics or the content archive out of the conversation entirely, and then wonder why the offer looks thin.

Worked example

A $125,000 transfer of a business earning $42,000 a year. The codebase is 14,000 lines and a contractor would quote about $45,000 to reproduce it, so on replacement logic the business looks like a $45,000 asset.

The buyer is paying for the 380 subscriptions already billing, a domain with six years of history, an email list of 9,000, and the option to raise prices on a base that has not seen an increase since launch. Those are the items that justify a 3× multiple on trailing profit.

Inventory the whole asset before you decide what your business is worth. Most sellers underrate distribution and data because they never had to buy either. Buyers know exactly what those cost, which is why the price rarely tracks the code.
